The terms governing use of this website, and the basis on which Dune Gateway Export LLC quotes for and supplies export sourcing and trade services.

1. Agreement to these terms
These Terms and Conditions govern your access to and use of dunegatewayexportllc.com (the "Site"), operated by Dune Gateway Export LLC, a limited liability company registered in the State of New Jersey, United States.
By accessing or using the Site you agree to be bound by these terms. If you do not agree with them, you should not use the Site.
The Site and our services are intended for business use by companies and professional buyers. They are not directed at consumers.
2. Nature of our services
Dune Gateway Export LLC provides export sales management, wholesale procurement, global sourcing, export documentation and logistics coordination services to business clients.
We do not maintain a fixed product catalogue and we do not sell from stock. We source against a specification provided by the client. Descriptions of sectors, capabilities and regions on this Site are descriptive of the services we provide and do not constitute an offer to supply any particular product.
Nothing on this Site constitutes an offer capable of acceptance. All quotations are issued separately, in writing, and are subject to the terms stated in them.
3. Quotations, orders and contract formation
A binding contract is formed only when we issue a written quotation or proforma invoice and you accept it in writing, or when we issue a written order confirmation — whichever occurs first.
- Quotations are valid for the period stated on them and, where no period is stated, for 14 calendar days from issue.
- Quotations are given against a specified Incoterms 2020 rule. The Incoterm determines the point at which cost and risk transfer, and what is included in the quoted price.
- Pricing is subject to change where currency rates, freight rates, duties, tariffs, taxes or supplier costs move materially between quotation and order confirmation.
- Lead times are estimates given in good faith based on supplier confirmation at the time of quotation, and are not guaranteed unless expressly stated as a firm commitment in writing.
4. Client obligations
When engaging our services, you agree to:
- Provide accurate, complete specifications and requirements, and promptly notify us of any change;
- Confirm that goods sourced on your behalf may lawfully be imported into and sold within the destination jurisdiction;
- Obtain any import licence, permit, registration or approval required at destination, unless expressly agreed otherwise in writing;
- Make payment in accordance with the agreed terms;
- Comply with all applicable export-control, sanctions, anti-bribery and anti-money-laundering laws, and not to use our services in connection with any restricted party, embargoed destination or prohibited end-use.
We reserve the right to decline or suspend any engagement that we reasonably believe would breach applicable law or expose us to unacceptable regulatory risk.
5. Payment terms
Payment terms are set out in the applicable quotation or order confirmation. Unless otherwise agreed in writing:
- Invoices are payable in United States Dollars;
- Payment is due in cleared funds by the date stated on the invoice;
- Bank charges, transfer fees and currency-conversion costs are payable by the client;
- We reserve the right to charge interest on overdue amounts at the maximum rate permitted by applicable law, and to suspend performance while an invoice remains unpaid;
- Duties, tariffs and destination taxes are payable by the client except where the agreed Incoterm expressly places them with us.
6. Delivery, title and risk
Delivery, transfer of risk and allocation of cost are governed by the Incoterms 2020 rule stated in the applicable quotation or order confirmation.
Title to goods passes only upon receipt of payment in full. Delivery dates are estimates unless expressly stated to be firm commitments, and we are not liable for delays caused by carriers, port congestion, customs authorities, inspection regimes or other matters outside our reasonable control.
7. Inspection and claims
You should inspect goods promptly on arrival. Claims relating to shortage, damage or non-conformity with the agreed specification must be notified to us in writing, with supporting evidence, within 14 calendar days of delivery.
Where a claim is upheld, our liability is limited to, at our election, replacement of the affected goods, re-performance of the affected service, or a credit or refund of the amount attributable to them. Goods must not be returned, disposed of or altered without our prior written agreement, as doing so may prejudice recovery from the supplier or carrier.
8. Intellectual property
All content on this Site — including text, layout, graphics, logos, iconography and the underlying design and code — is owned by or licensed to Dune Gateway Export LLC and is protected by intellectual property law.
You may view, download and print pages for your own internal business use. You may not reproduce, republish, distribute, sell or exploit any part of the Site commercially, nor use our name, marks or branding, without our prior written permission.
9. Acceptable use
You agree not to use the Site to:
- Submit false, misleading or fraudulent enquiries, or impersonate another person or entity;
- Transmit malware, or attempt to gain unauthorised access to the Site, its servers or connected systems;
- Interfere with the operation or availability of the Site, including by automated scraping or excessive request volumes;
- Use any contact information obtained from the Site for unsolicited commercial communication.
10. Disclaimers
The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Information on the Site is general in nature and is provided for information only. It does not constitute legal, regulatory, customs, tax or financial advice, and should not be relied upon as such. Trade regulations, tariffs and documentary requirements change frequently and differ by jurisdiction. You should obtain professional advice specific to your circumstances before acting.
11. Limitation of liability
To the fullest extent permitted by applicable law, Dune Gateway Export LLC shall not be liable for any indirect, incidental, special, consequential or punitive loss, nor for loss of profit, revenue, contract, goodwill, anticipated saving, business opportunity or data, however arising.
Our total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by you to us in respect of that engagement.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
12. Force majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, terrorism, strike or labour dispute, port or terminal closure, carrier failure, cyber attack, embargo, sanctions, changes in law, or the act or omission of any government or customs authority.
13. Third-party links
The Site may link to third-party websites or embed third-party content, such as mapping services. We do not control and are not responsible for their content, availability, security or privacy practices. Links are provided for convenience and do not imply endorsement.
14. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the State of New Jersey and the applicable federal laws of the United States, without regard to conflict-of-laws principles.
The state and federal courts located in the State of New Jersey shall have exclusive jurisdiction, and you submit to that jurisdiction. Application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
15. General
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of it. These terms, together with any written quotation or order confirmation, constitute the entire agreement between us in respect of their subject matter.
We may amend these terms at any time by posting a revised version on this page. Continued use of the Site after a revision constitutes acceptance of it. Amendments do not affect contracts already formed.
